Notice #009 - Corporate Restructuring and Mergers

Corporate purchases, mergers, realignments and other such business transactions occur frequently within the Financial Services and RESP industry. These changes are typically accompanied by revisions to the relevant business information e.g., new Business Number (BN), changes to the types of plans offered, change of trustee, or company name changes, etc.

Both Human Resources Development Canada (HRDC) and the Canada Customs and Revenue Agency (CCRA) need to be made aware of these corporate changes as early on in the process as possible. This is necessary to allow sufficient time to determine if a new Canada Education Savings Grant (CESG) promoter or trustee Agreement is required, and to make the required updates.

Therefore we are asking for your cooperation in ensuring that CCRA and the CESG program (CESGP) are notified if any of the following types of changes are foreseen or if they are already underway.

When advising CESGP of such changes, include details on the following information:

• the nature of the restructuring (e.g., a merger, purchase or selling of RESP related holdings, a Change of Trustee, effective date, etc.)
• new company name
• new Business Number (BN)
• effective date for these changes
• changes to the names of authorized company officers
• any other information you feel is pertinent
