This Information Bulletin is an updated version of CESG/SCEE-2000/01-00-9 dated June 30, 2000 referring to Corporate Restructuring and Mergers.


The purpose of this Information Bulletin is to remind Promoters and Trustees of their obligation to notify Human Resources and Skills Development Canada (HRSDC) and the Canada Revenue Agency (CRA) of any changes regarding corporate restructuring, purchases and mergers.

Corporate restructuring and changes

Corporate purchases, changes of corporate names, mergers, restructuring and other such business transactions are common within the financial services and RESP industry. These changes are typically accompanied by revisions to relevant business information, e.g. new Business Number (BN), changes to the types of plans offered, change of trustee, company name changes, etc.

Duty to Inform

In accordance with the agreements signed with HRSDC, Promoters and Trustees have the duty to inform HRSDC, in writing, at least 60 days prior to any of these corporate changes.

This is necessary in order for HRSDC to review your file and ensure the proper agreements are in place and all system requirements are met.

CRA also needs to be made aware of these corporate changes. To inform the CRA, please call 1-800-267-3100.

Information Requested

When notifying of such changes, please include details on the following information:

  • the nature of the restructuring (For example: a merger, purchase or sale of RESP related holdings, a change of trustee, a company name change, etc.)
  • the new company name (if applicable)
  • the new Business Number (BN) (if applicable)
  • the effective date for these changes
  • changes to the names of authorized company officers
  • any other information you feel is pertinent
