The Competition Bureau today published revisions to its Pre-Merger Notification Interpretation Guideline No. 7. This guideline, along with 14 other Pre-Merger Notification Interpretation Guidelines previously published by the Bureau, assist parties and their counsel in interpreting and applying the provisions of the Competition Act that are relevant to determining whether a transaction is subject to mandatory pre-merger notification.

The Competition Bureau is releasing for comment a revised version of its Immunity Program, the Bureau’s best weapons to combat criminal anticompetitive agreements. Under the Immunity Program, a party may receive immunity from prosecution from the Director of Public Prosecutions if the party discloses to the Competition Bureau an offence not yet detected or provides evidence that warrants a referral to the Public Prosecution Service of Canada. In addition, the party must cooperate with the Bureau and in any subsequent prosecution.
The Competition Act requires that companies notify the Bureau if proposed mergers, acquisitions and other transactions meet certain thresholds. The Bureau reviews these notifiable transactions to determine if they are likely to substantially prevent or lessen competition. Companies filing a merger notification, or requesting an Advance Ruling Certificate, pay a filing fee.
Houmam Al Nashar, estimator for Les Industries Garanties Limitée, pleaded guilty today to one count of bid-rigging related to three condominium development projects in Montreal. Mr. Al Nashar agreed to do 50 hours of community service and collaborate with the Bureau as this matter progresses.
